By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
We reserve the right to update, change, or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Service following the posting of any changes constitutes acceptance of those changes.
2. Description of Service
Jotter Otter is an AI-powered social media content generation service that helps users create platform-optimized content for various social media platforms including, but not limited to, LinkedIn, Facebook, Instagram, and X (formerly Twitter).
Our Service allows you to:
- Generate social media content from text inputs, ideas, or uploaded images
- Create content variations for different social media platforms
- Customize content tone, style, and templates
- Save and manage brand voice examples
- Access generation history and usage statistics
The Service uses artificial intelligence and machine learning technologies to generate content. While we strive for accuracy and quality, the Service is provided "as is" and we do not guarantee the accuracy, completeness, or usefulness of any generated content.
3. User Accounts and Registration
To access certain features of the Service, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and identification
- Accept all responsibility for activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years old to use the Service, or if you are under 18, you must have the consent of a parent or guardian. By using the Service, you represent and warrant that you meet this age requirement.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.
4. Subscription Plans and Billing
Jotter Otter offers various subscription plans with different features and usage limits:
- Scout Plan: $19.99/month for 25 posts per month
- Hunter Plan: $49.99/month for unlimited posts
- Enterprise Plans: Custom pricing for teams and organizations
All plans include a 7-day free trial period. During the trial period, you can access all features of your selected plan without charge. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.
Subscription fees are billed in advance on a monthly basis. By subscribing, you authorize us to charge your payment method for the subscription fee and any applicable taxes.
5. Payment Terms
Payments are processed through Stripe, our third-party payment processor. By providing payment information, you agree to Stripe's terms and conditions. We do not store your complete payment card information on our servers.
Refund Policy: We offer a 7-day free trial for all new subscriptions. After the trial period ends and payment is processed, all subscription fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or cancellation of your subscription mid-billing cycle.
If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period. After that, your account will be downgraded to a free tier (if available) or terminated.
You are responsible for any taxes, duties, or government charges that may be applicable to your use of the Service. All prices are in U.S. dollars unless otherwise stated.
6. User Content and Intellectual Property
Your Content: You retain ownership of any content you input into the Service, including text, images, ideas, and brand voice examples ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your User Content solely for the purpose of providing and improving the Service.
AI-Generated Content: Content generated by our AI ("Generated Content") is created based on your inputs and our AI models. You own the Generated Content created for you, subject to the following:
- You may use Generated Content for any lawful purpose, including commercial use
- You are responsible for reviewing, editing, and ensuring the accuracy of Generated Content before use
- You may not claim that Generated Content was created by a human without disclosure
- You are responsible for ensuring Generated Content does not infringe on third-party rights
Our Intellectual Property: The Service, including its original content, features, and functionality, is owned by Jotter Otter Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.
Our trademarks, service marks, and logos used in connection with the Service are our property. Other trademarks, service marks, and logos used in connection with the Service may be the property of their respective owners.
7. AI-Generated Content Disclaimers
No Guarantees: Our AI-generated content is created using machine learning models that may produce inaccurate, incomplete, or inappropriate content. We do not guarantee the accuracy, quality, or suitability of any Generated Content for your intended use.
Your Responsibility: You are solely responsible for:
- Reviewing and editing all Generated Content before use
- Ensuring Generated Content complies with applicable laws and platform policies
- Verifying facts, statistics, and claims in Generated Content
- Ensuring Generated Content does not violate third-party rights or contain defamatory, offensive, or illegal material
- Obtaining necessary permissions for any content you use
We are not liable for any consequences resulting from your use of Generated Content, including but not limited to legal issues, platform violations, or reputational harm.
8. Prohibited Uses
You agree not to use the Service:
- For any unlawful purpose or to solicit others to perform unlawful acts
- To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
- To infringe upon or violate our intellectual property rights or the intellectual property rights of others
- To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
- To submit false or misleading information
- To upload or transmit viruses or any other type of malicious code
- To collect or track the personal information of others
- To spam, phish, pharm, pretext, spider, crawl, or scrape
- For any obscene or immoral purpose
- To interfere with or circumvent the security features of the Service
- To generate content that violates platform terms of service (e.g., spam, misinformation, hate speech)
- To create content that impersonates others or misrepresents your identity
We reserve the right to terminate your use of the Service for violating any of the prohibited uses.
9. Service Modifications and Availability
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
We do not guarantee that the Service will be available at all times or that it will be free from errors, viruses, or other harmful components. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.
We may change features, functionality, or pricing of the Service at any time. We will provide reasonable notice of material changes that negatively affect your use of the Service.
10. Termination
You may terminate your account at any time by canceling your subscription through your account settings or by contacting us. Upon termination:
- Your right to use the Service will immediately cease
- You will continue to have access until the end of your current billing period
- We may delete your account and data in accordance with our Privacy Policy
- All provisions of these Terms that by their nature should survive termination shall survive
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
11. Disclaimers and Limitation of Liability
Service Provided "As Is": The Service is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included on the Service.
No Warranties: To the fullest extent permissible by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability: In no event shall Jotter Otter Inc., its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use the Service
- Any conduct or content of third parties on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
12. Indemnification
You agree to defend, indemnify, and hold harmless Jotter Otter Inc. and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access of the Service
- Your violation of any term of these Terms
- Your violation of any third party right, including without limitation any copyright, property, or privacy right
- Any claim that your User Content or use of Generated Content caused damage to a third party
This defense and indemnification obligation will survive these Terms and your use of the Service.
13. Dispute Resolution
Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting us at the contact information provided below. We'll try to resolve the dispute informally within 60 days.
Binding Arbitration: If we cannot resolve the dispute informally, you agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below. The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Exceptions: You may opt out of arbitration within 30 days of first accepting these Terms by sending us written notice. You may also bring claims in small claims court in your jurisdiction, if the claims qualify.
Class Action Waiver: You agree that disputes will be resolved individually and not as part of a class, consolidated, or representative action.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. If you are located outside the United States, these Terms still apply, but local laws may also apply.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.
15. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
